Terms of Service

1. Eligibility

If you use the Service for a household, you are responsible for ensuring household members use it in compliance with these Terms.

2. Your Account

You are responsible for:

• keeping your login credentials secure;
• all activity under your account;
• providing accurate information.

You may sign in via email/password or third-party identity providers (such as Google or Apple), where available.

3. What the Service Does

Frineo helps users manage groceries and household food workflows, including features such as:

• adding products manually or from scanned receipts;
• parsing text/voice-like commands into product entries;
• inventory and shopping list management;
• food and nutrition-related suggestions;
• household sharing features (where available);
• premium features (where offered).

Some features may be experimental, in beta, or “coming soon,” and may change or be removed.

4. Acceptable Use

You agree not to:

• use the Service for unlawful, harmful, or fraudulent activities;
• interfere with or disrupt the Service;
• attempt unauthorized access to systems or accounts;
• upload malicious code or abusive content;
• use automated scraping or reverse engineering except where legally permitted.

You must only upload content you have the right to use (e.g., receipts you are allowed to process).

5. AI Features and Accuracy

Some outputs are generated by automated systems and third-party AI models. AI outputs may be incomplete or incorrect. You are responsible for verifying important details (including pricing, nutrition, allergens, and expiry-related decisions). The Service is not medical, nutritional, legal, accounting, or emergency advice.

6. Subscriptions, Billing, and Refunds

If paid plans are offered:

• subscription terms, price, billing cycle, and included features will be shown before purchase;
• subscriptions renew automatically unless canceled before renewal;
• fees are generally non-refundable except where required by law or as stated in a specific refund policy;
• taxes may apply depending on your location.

You can cancel through the platform where you subscribed (e.g., App Store/Play Store/web billing portal).

7. Intellectual Property

The Service, including software, branding, interfaces, and content we provide, is owned by or licensed to FRINEO and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal/internal household use.

8. User Content

You retain ownership of content you submit (e.g., receipt images, product notes, suggestions). You grant us a limited license to host, process, and use that content solely to operate, secure, improve, and provide the Service.

9. Privacy

Our Privacy Policy explains how we collect and use personal data. By using the Service, you acknowledge that processing.

10. Suspension and Termination

We may suspend or terminate access if you violate these Terms, create risk, or misuse the Service. You may stop using the Service at any time and request deletion as described in the Privacy Policy.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

We do not guarantee uninterrupted, error-free, or perfectly accurate operation.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRINEO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

1. AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR
2. LIABILITY CAP AMOUNT.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply.

13. Indemnification

You agree to indemnify and hold harmless FRINEO from claims, damages, and expenses arising from your misuse of the Service, your content, or your violation of these Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of JURISDICTION, excluding conflict-of-law rules. Disputes will be resolved in the courts located in COURT LOCATION, unless mandatory law requires otherwise.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new “Last Updated” date and, where required, provide additional notice.
